Terms of Service

These Terms of Service ("Terms") govern access to and use of the Pulse Social Command Center (the "Service"), provided by Pulse Payments LLC (dba Pulse Technologies) ("Pulse", "we", "us"). By accessing or using the Service, the customer organization ("Customer", "you") and its authorized users agree to these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization.

1. The Service

The Service lets Customers draft, schedule, and publish social media content to the third-party networks they connect (such as LinkedIn, Facebook, Instagram, X, TikTok, YouTube, Pinterest, Threads, Google Business Profile, Bluesky, Mastodon, Reddit, Telegram, and Tumblr), including AI-assisted content, image, and voice generation. The Service also includes Pulse SMS (send and receive SMS/MMS from a dedicated number, see Section 6), Pulse Email (send opted-in marketing email from your own verified domain, see Section 6), a public API and outbound webhooks for integrating with the Service, native CRM connectors, a built-in support help desk, in-product usage analytics for administrators, and native mobile apps. Pulse may update, improve, or modify the Service over time, and individual features may depend on third-party approvals or be offered in beta.

3. Customer content & license

As between the parties, you own the content you create or upload ("Customer Content"). You grant Pulse a limited, non-exclusive license to host, process, transmit, and display Customer Content solely to provide the Service — including sending it to the third-party platforms and the AI provider you direct us to use. You are responsible for having the rights to the content you upload and publish.

Pulse may suspend or terminate access for breach of these Terms, non-payment, or to protect the Service or third parties. You may stop using the Service at any time. On termination, the rights granted to you end and Customer Content is handled as described in the Privacy Policy and Data Processing Addendum.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Pulse does not warrant that the Service will be uninterrupted or error-free, or that posts will be delivered by any platform.

10. Limitation of liability

To the maximum extent permitted by law, Pulse will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill. Pulse's total liability arising out of or relating to the Service will not exceed the amounts you paid for the Service in the 12 months preceding the claim.

11. Indemnification

You will defend and indemnify Pulse against claims arising from your Customer Content, your use of the Service, or your violation of these Terms or applicable law or platform policies.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by updating the effective date and, where appropriate, notifying account holders. Continued use after changes take effect constitutes acceptance.

13. Governing law

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules, and the parties consent to the exclusive jurisdiction of the state and federal courts located in Lee County, Florida.
